ADMINISTRATION
The Fellowship is directed
by a Council composed of 10 Seekers, one representative from
among the Probationers, and one representative from among the
Auditors. The initial Council is composed exclusively of the
founding members of the Fellowship. Members of the Council are
elected for a term of seven (7) years. Any Member of the Council
completing a term may be reelected. Paid members (i.e. contracted
for a certain work) may not be elected to the Council.
In case of the death
or resignation of a Member of the Council, or in case of a vacancy
by any other means, the Council will fill the vacancy through
co-optation. The Member of the Council filling the vacancy will
serve out the remaining term of the Member whom they replaced.
The Members of the Council
choose from among their number, by secret ballot, and by absolute
majority, a Board of Directors composed of a President, a Treasurer,
and a Secretary. Auditors and Probationers are not eligible
to be elected to this Board of Directors. The Board of Directors
is elected at the first meeting of the Council. The Members
of the Board of Directors are eligible for reelection indefinitely.
The Council shall meet
as often as is necessary for the benefit and operation of the
Fellowship, with a minimum requirement of at least one annual
meeting. The Council may be convened at any time by the President,
provided at least half the members be present. A detailed agenda
will be prepared by the President or Members of the Council;
if the need arises, it shall be sent to the Members of the Council
one week in advance.
Decisions of the Council
are affected by absolute majority of the Members of the Council
present at the meeting. In the case of a tie vote, the decision
will reside with the vote of the President. Two Members of the
Council must be present for any purchases or loans in the name
of the Fellowship.
The Council is invested
with the widest possible authority for the direction of the
Fellowhip. Only actions explicity reserved for the General Assembly
are beyond its authority. Further details are outlined in the
